1. DEFINITIONS AND INTERPRETATION
1.1. “Company” refers collectively to Admiral Corporate Services Ltd. (Mauritius Reg. No: 232791) and Admiral Strategic Consulting Ltd. (London, UK).
1.2. “Client” refers to any individual or legal entity engaging the Company’s services.
1.3. “Services” refers to business consultancy, administrative facilitation, and process coordination.
1.4. “Partner / Subcontractor” refers to third-party professionals (accountants, legal counsel, tech providers) engaged to execute specific technical tasks.
1.5. “Affiliate” refers to a third party participating in the Company’s referral or partnership program.
2. LEGAL NATURE OF SERVICES (THE CONSULTANCY MODEL)
2.1. Consultancy Status: The Client acknowledges that the Company operates strictly as a Strategic Consultant and Facilitator. The Company is not a registered law firm, a licensed audit firm, or a regulated financial institution.
2.2. Administrative Role: For specialized services such as accounting, the Company provides administrative preparation (organizing, digitalizing, and preparing records). The final execution of bookkeeping, statutory filings, or legal certifications is performed by independent, licensed professional partners.
2.3. No Direct Professional Liability: The legal and professional relationship for specialized tasks exists between the Client and the external partner. The Company assumes no liability for the technical accuracy or professional standards of these third-party services.
3. ENGAGEMENT OF SUBCONTRACTORS AND PARTNERS
3.1. Outsourcing Model: The Company’s business model relies on a global network of experts. The Company reserves the right to engage subcontractors (e.g., Quantina Intelligence Research Lab) to fulfill technology, digital infrastructure, or administrative needs.
3.2. Referral and Forwarding: The Company is authorized to forward the Client’s data and requirements to specialized partners within its network to ensure professional compliance.
4. BILLING, PAYMENT, AND AUTOMATIC ACCEPTANCE
4.1. Incorporation by Reference: Every invoice issued by the Company incorporates these Terms and Conditions in their entirety.
4.2. Settlement as Acceptance: The settlement (payment) of any invoice by the Client constitutes full and irrevocable acceptance of these T&Cs.
4.3. Fees: Invoiced amounts include the Company’s coordination fees and, unless specified, the costs of third-party partners involved in the service delivery.
5. EXTENDED DISCLAIMERS AND LIMITATION OF LIABILITY
5.1. Service Disclaimer: Information provided on the Company’s website or in marketing materials is for general informational purposes only and does not constitute professional advice.
5.2. No Guarantee of Outcome: The Company does not guarantee specific results regarding government approvals, bank account openings, or processing times by authorities (e.g., Mauritius Revenue Authority), as these are subject to third-party decisions.
5.3. Extended Liability Waiver: The Company shall not be liable for errors, omissions, or professional negligence by external partners (accountants, lawyers).
5.4. Liability Cap: To the maximum extent permitted by law, the Company’s total aggregate liability for any claim shall be strictly capped at the amount of the consultancy fees actually paid by the Client for that specific engagement.
5.5. Indirect Losses: The Company expressly excludes liability for any loss of profit, business opportunity, or consequential damages.
6. AFFILIATE PARTNERSHIP AND REFERRAL PROGRAM
6.1. Supremacy of Individual Contracts: While these T&Cs provide the general framework, Affiliates are subject to their unique Affiliate Partnership Agreement. In case of conflict, the individual contract prevails.
6.2. Unilateral Right of Revocation (Termination at Will): The Company reserves the right to revoke, suspend, or terminate an Affiliate’s status or referral rights at any time, without prior notice and without being required to provide a cause.
6.3. Strict Confidentiality (Non-Disclosure): Affiliates must maintain absolute confidentiality regarding the Company’s internal processes, client lists, commission structures, and methodologies.

This obligation remains in force for 5 (five) years following the termination of the partnership.

Breach of confidentiality results in immediate forfeiture of all unpaid commissions and full liability for damages.
6.4. Non-Agency: Affiliates act as independent intermediaries and have no authority to bind the Company to any contract or to make legal representations on its behalf.
7. CLIENT OBLIGATIONS (AML/KYC)
7.1. The Client warrants that all provided information is accurate and lawful.
7.2. The Client must comply with all Anti-Money Laundering (AML) and Know Your Customer (KYC) requests. Failure to do so grants the Company the right to terminate services immediately without refund.
8. DATA PROTECTION AND GDPR
8.1. The Company processes data in accordance with the UK GDPR, EU GDPR, and the Mauritius Data Protection Act.
8.2. The Client consents to the secure transfer of data to authorized subcontractors and partners necessary for service fulfillment.
9. INTELLECTUAL PROPERTY AND DMCA
9.1. All materials, designs, and infrastructures are protected under international copyright laws and DMCA registration.
9.2. Unauthorized reproduction or use of the Company’s methodologies or website content is strictly prohibited.
10. JURISDICTION AND GOVERNING LAW
10.1. These T&Cs are governed by the laws of Mauritius or the United Kingdom, at the Company’s sole discretion based on the nature of the dispute.
10.2. Any legal action arising from these terms shall be subject to the exclusive jurisdiction of the courts in the Company’s chosen jurisdiction.

By engaging our services, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions. Admiral Corporate Services Ltd. reserves the right to amend these terms at any time by posting the updated version on its website.
